DLA Piper advised Aristocrat Leisure

DLA Piper has advised Aristocrat Leisure, one of the largest global manufacturers of gaming solutions, on its successful acquisition of developer Plarium Global. Both companies are involved in producing popular entertainment content. DLA Piper Ukraine, together with Herzog Fox & Neeman, advised Aristocrat Leisure on the closing and post-closing matters of the transaction, drafting and negotiating the post-transaction documentation, and advising on the Ukrainian legal aspects of the deal.

The team, consisting of senior associate, Dmytro Tkachenko, and associate Artem Hrytsak was led by partner Galyna Zagorodniuk.  Additional support was provided by head of real estate, Natalia Kochergina, and head of intellectual property, Natalia Pakhomovska, and their teams.  

 

AVELLUM advised Coast2Coast

AVELLUM acted as a Ukrainian legal counsel to Coast2Coast, a South-African investment company, on acquisition of Poland-based Stella Pack by Bounty Brands, a part of Coast2Coast’s portfolio.

Coast2Coast announced the acquisition of Stella Pack in September 2017. This transaction expands Coast2Coast’s portfolio of home products brands, as well as their presence in Central and Eastern Europe.

AVELLUM conducted due diligence of the Ukrainian part of the target business and assisted with various commercial matters. White & Case acted as a global legal advisor to Coast2Coast.

The AVELLUM team involved in this transaction was led by the managing partner, Mykola Stetsenko, and associate Andrii Gumenchuk.

 

DLA Piper advised McDonald’s 

DLA Piper advised McDonald’s in a recently completed transaction which resulted in the opening of a new restaurant. The team provided full legal support to McDonald’s in the transaction, which included legal due diligence, advice on various construction regulatory, tax and land issues, structuring of the deal, development of transaction documents, negotiations with developer and general contractor, assistance with title registration and the closing of the deal.

The Kiev-based real estate team was led by partner and head of real estate in Ukraine, Natalia Kochergina, with key input from legal director Oleg Matiusha and associate Ievgen Storozhenko. The head of tax, Illya Sverdlov, and senior associate Dmytro Rylovnikov advised McDonald’s on tax-related matters.

 

Asters advised BSTDB

Asters acted as a legal counsel to the Black Sea Trade and Development Bank (BSTDB) in connection with its USD 5 million financing of Novotech-Terminal Ltd, a Ukrainian private stevedoring company.

A seven-year loan will assist the company in expanding and modernizing its grain terminal transshipment complex in Odessa Sea Trade Port. Novotech’s development plan targets to increase the grain terminal’s capacity to 2.5 million tons per year.

Asters’ banking and finance team advising on the project consisted of partner Iryna Pokanay, counsel Gabriel Aslanian and associate Inna Bondarenko.
