AVELLUM advised PrJSC Jacobs Douwe Egberts Ukraine

AVELLUM advised its client on the minorities squeeze-out procedure followed by the successful corporate reorganisation of  Jacobs Douwe Egberts Ukraine  from a private joint stock company to a limited liability company.

The firm supported the client on corporate law issues arising from  this complex transaction. The project enabled the client to significantly streamline its corporate governance structure and internal compliance procedures.

The AVELLUM team was led by partners Yuriy Nechayev and Vadim Medvedev with support from associates Dmytro Tkachuk and Oleksandr Kulykovskyi.

 

Asters advised Emer Group Limited

Asters acted as a counsel to Emer Group Limited in connection with the recent sale of its 6.99% stake in Joint Stock Company Farmak, the largest pharmaceutical producer in Ukraine.

Partner Iryna Pokanay and counsel Gabriel Aslanian made up the team involved in the matter.

 

AEQUO advised Posco Daewoo

AEQUO advised Posco Daewoo, with over USD 21 billion in annual revenue, regarding Ukrainian law matters in connection with the acquisition of a grain export terminal in Mykolayiv. If the deal is completed, Posco Daewoowill become the first Korean firm to operate a grain terminal overseas, thereby exercising control over the entire supply chain of grain produced in Ukraine and managing inventory more efficiently.

AEQUO’s project team included partner Anna Babych, of counsel Oksana Krasnokutskaya, counsel Michael Lukashenko and senior associate Mykhaylo Soroka who advised the client on various corporate matters connected with the transaction.

 

AVELLUM advised Kernel

AVELLUM acted as the legal counsel to its longstanding client Kernel Holding S.A. on the acquisition of a 100% stake in Rail Transit Kargo Ukraine worth, based on the enterprise’s values, USD 64 million.

AVELLUM provided legal support to Kernel in negotiating and signing of the transaction documents, as well as in the completion of the transaction.

The acquisition should increase Kernel’s operating profitability and protection against ever increasing logistics costs as well as procure the smooth and efficient delivery of grains from inland silos to ports.

RTK Ukraine is the second largest grain hopper wagon fleet operator in Ukraine with a market share of 15%.

The AVELLUM team was led by partner Yuriy Nechayev with support from associates Vladyslav Aleksandrov and Maryna Buinytska.

 

AEQUO advised Dragon Capital on acquiring stake in Ciklum

AEQUO advised Dragon Capital, one of the leading private equity investors in Ukraine, on acquisition of a stake in Ciklum.

Ciklum is a leading global IT-company founded in 2002.
