Sayenko Kharenko advised Dobrobut

Sayenko Kharenko  acted as à legal counsel to Dobrobut and its shareholders with respect to the acquisition of a medical chain operating three clinics in Kyiv under the brand name of Doctor Sam.

Doctor Sam will integrate into the Dobrobut chain, providing patients of both operators with high-quality healthcare services and an innovative approach.

Sayenko Kharenko provided full-scope legal support for the buyer, including deal structuring, drafting and negotiating transaction documents, pre-closing and closing assistance. Sayenko Kharenko’s team was led by associates Ilhar Hakhramanov and Yurii Dmytrenko and junior associate Angelina Danyleiko under the supervision of partner Oleksandr Nikolaichyk. Igor Pomaz advised on antitrust matters under the supervision of partner Vladimir Sayenko.

 

Asters advised EBRD on EUR 25 million financing to Yuria-Pharm

Asters acted as a legal counsel to the European Bank for Reconstruction and Development in connection with its EUR 25 million financing to Yuria-Pharm, Ukraine’s leading manufacturer of intensive care medicines, medical devices and antiseptics. A six-year loan of up to EUR 25 million from the EBRD will help Yuria-Pharm to expand its existing production facilities and introduce an innovative solution for the Ukrainian market, which will help to customize cancer treatment practices.

Asters’ banking and finance team advising on the project consisted of partner Iryna Pokanay, counsel Gabriel Aslanian and associates Inna Bondarenko and Viktoria Zagreba.

 

CMS assisted TIS Group

CMS Cameron McKenna Nabarro Olswang in Kyiv assisted TIS Group in the successful closure of a joint venture transaction whereby DP World, one of the world’s largest port operators, entered Ukraine directly for the first time. The deal was signed in February 2020 and closed after four months following the satisfaction of specific conditions, including regulatory approvals.

Asters advised EBRD on providing loan to Grain Alliance

Asters acted as a legal counsel to the European Bank for Reconstruction and Developmentin connection with its providing financing to Grain Alliance Group, a large Ukrainian agricultural producer, which cultivates over 55,000 hectares of land in the north of Ukraine. The loan will support the group’s liquidity and help it withstand the COVID-19 crisis.  Asters’ banking and finance team advising on the project consisted of partner Iryna Pokanay, counsel Gabriel Aslanian and associates Inna Bondarenko and Viktoria Zagreba.

 

EVERLEGAL acted as a legal partner of UNIT.City

On 1 July 2020 the first innovation park in Ukraine, UNIT.City, announced the signing of the finance contract with the European Investment Bank, which will provide a loan in the amount of EUR 50 million for the purposes of UNIT.City development.

This agreement will help to create one of the largest innovation centers, which will combine specialized infrastructure with an innovative ecosystem for IT and technology companies in Central and Eastern Europe.

EVERLEGAL team supported the process of attraction of financing for UNIT.City at all stages of negotiations and execution of the transactional documents. EVERLEGAL also provided comprehensive legal support to UNIT.City during the due diligence process conducted by the European Investment Bank on the project and advised the client on certain aspects of providing security in accordance with the specifics of Ukrainian law.
