VKP advised on sale of JSC LIEPĀJAS METALURGS

Vasil Kisil & Partners acted as a legal advisor in the sale of JSC LIEPĀJAS METALURGS, the largest industrial enterprise in Latvia, with its own port facility producing and selling steel products internationally. At the turn of 2014 the final financial and legal documents were executed for the purpose of asset transfer to the Latvian subsidiary of KVV Group, a leading Ukrainian group active in the scrap metal business. The total value of the deal is EUR 107 million. Vasil Kisil & Partners advised on the Ukrainian law issues on the seller’s side. The lawyers were involved in reviewing the transaction documents and conducting corporate due diligence and issued legal opinions to the seller of JSC LIEPĀJAS METALURGS and its major creditors. The team was led by the firm’s partner Oleg Alyoshin and counsellor Anna Sisetska and included the firm’s associates Olena Nikolenko and Darya Bogatchuk.

 

Sayenko Kharenko advised ING Bank

Sayenko Kharenko acted as Ukrainian legal counsel to ING Bank N.V. (London Branch), the solicitation agent, in relation to solicitation by First Ukrainian International Bank of consent from the noteholders of its outstanding USD 252.5 million Loan Participation Notes due 2014 issued by Standard Bank Plc for amending their terms and conditions. The amendments included modification of the redemption schedule of the notes and extending their maturity to 2018. The team included counsel Anton Koro- beynikov, associates Orest Matviychuk and Taras Shyb and was led by partner Nazar Chernyavsky.

Asters advised Ardis Group

Asters law firm advised Ardis Group, Ukrainian importer and distributor of food products, in connection with acquisition of milk production equipment in Italy. The firm’s team participated in preparation of the transaction documents and structuring of settlements. Asters’ team consisted of partner Oleksiy Demyanenko and associate Yuriy Radko.

 

Gide acted as a Ukrainian law advisor to ABF

Gide acted as a Ukrainian legal advisor to ABF regarding the sale of its Ukrainian farming business entity TOV Hyadt Agro. The purchaser was a mid-size Ukrainian agro and food producing company. The transaction had to be structured in accordance with the currency control restrictions, leaving only small leeway comforting the interests of parties. Gide Loyrette Nouel’s team at the Kiev office was led by partner Julian Ries with assistance from Vasyl Yurmanovych.

 

Asters advised FIM Bank

Asters advised FIM Bank on Ukrainian law aspects of trade finance operations, including exportation of grain and metal, establishment of security, issuance of warehouse receipts, performance of FCRs and storage arrangements at the sea terminal.

FIM Bank is a public limited company registered under the laws of Malta, and listed on the Malta Stock Exchange. The bank, through its joint ventures, has a strategic partnership with the International Finance Corporation and its principal activity is provision of short-term international trade finance to corporate traders and intermediary services to financial institutions for cross-border settlements, forfaiting and loan syndications.
