AVELLUM acted as the Ukrainian legal counsel to ING Bank N.V. in connection with a USD 100 million secured pre-export revolving loan facility to Myronivsky Hliboproduct Group provided by ING and Crédit Agricole Corporate and Investment Bank.MHP is one of the leading agro-industrial companies in Ukraine, focusing on the production of poultry and cultivation of grain. The loan proceeds were used to buy sunflower seeds on the Ukrainian market for processing into sunflower meal consumed by MHP for production of fodder and oil for subsequent export. The AVELLUM team was led by partner Glib Bondar, with significant support from senior associate Taras Dmukhovskyy, and associates Taras Stadniichuk, Pavlo Shevchenko and Orest Franchuk.
Antika acted as legal advisor to Heitman
Antika acted as a legal advisor to Heitman in the sale of a logistics center in Borispol, Kiev Region, to Dragon Capital Investments Limited (a member of the Dragon Capital group of companies).As a part of this transaction, Dragon Capital Investments Limited acquired from Akron Investment Central Eastern Europe II B.V. East Gate Logistic, a Class A logistics center which was managed by Heitman.The international part of the transaction on behalf of Akron Investment Central Eastern Europe II B.V. was secured by the Greenberg Traurig and Stelios Americanos & Co LLC law firms.Legal support for the transaction was provided by the team consisting of partner Alexander Burtovoy and counsel Sergii Korniienko under the supervision of managing partner Alexey Kot.
Redcliffe Partners advised on the extension of a secured facility to Kernel
Redcliffe Partners acted as Ukrainian law counsel to a security trustee, Natixis, which represents a group of lenders on the extension of a USD 215 million secured facility to Kernel, a leading agricultural company in the Black Sea region. Redcliffe advised on the transaction and security documents and the mandatory requirements under EU law from a Ukrainian law perspective. Redcliffe’s team included managing partner Olexiy Soshenko and junior associates Olesia Mykhailenko and Anatoliy Doludenko.
AVELLUM advised the Ministry of Finance of Ukraine
AVELLUM acted as Ukrainian counsel to the Ministry of Finance of Ukraine on the issue of USD 1 billion 1.471% notes due 2021 fully guaranteed by the United States of America, acting through the United States Agency for International Development. The loan guarantee agreement is a part of the bilateral and multilateral economic support for Ukraine within the framework of the four-year IMF program (Extended Fund Facility). This is the third loan guarantee received by Ukraine from the USA. The AVELLUM team was led by partner Glib Bondar, with significant support from senior associates, Taras Dmukhovskyy and Vadim Medvedev as well as associates, Anna Melnychuk, Pavlo Shevchenko and Anastasiya Voronova.
DLA Piper — legal advisor to DCH Group
International law firm DLA Piper acted as legal advisor to DCH Group of Olek- sandr Yaroslavskyi in the transaction as a result of which DCH gained full control over the chain of trading and entertainment centers Karavan via acquisition of stakes from partners. The DLA Piper team provided DCH Group with full legal support from execution of all transaction documents up to completion. Anastasiya Bolkhovitinova, senior associate acted as the lead lawyer on the transaction, Margarita Karpenko, partner supervised work on the project. English law support was provided by Polly Owen, partner at DLA Piper’s London office.

AVELLUM acted as the Ukrainian legal counsel to Onex Corporation (Onex) and Baring Private Equity Asia (Baring Asia) in connection with the acquisition of Thomson Reuters’ Intellectual Property & Science Business for USD 3.55 billion. Latham & Watkins LLP acted as the lead legal counsel to Onex and Baring Asia on this transaction, while AVELLUM advised on Ukrainian law matters.Thomson Reuters’ Intellectual Property & Science Business will be known as Clarivate Analytics, and will continue to own and operate a collection of leading subscription-based businesses focused on scientific and academic research, patent analysis and regulatory standards, pharmaceutical and biotech intelligence, trademark protection, domain brand protection and intellectual property management. The AVELLUM team was led by its managing partner, Mykola Stetsenko, with significant support from associates Andriy Romanchuk, Yuriy Zaremba, Dmytro Tkachuk and Oleksii Maslov.
Redcliffe Partners advised Landesbank Berlin
Redcliffe Partners advised Landesbank Berlin on the restructuring of EUR 244 million worth of financing provided to Wind Power, a Ukrainian operating asset of DTEK Renewables Group. The financing was backed by a guarantee of EKF, the Danish export credit agency. The successful restructuring of the loan will bring positive outcomes for the development and operation of green energy in Ukraine and, in particular, for wind and solar power generation.
