INTEGRITES closed two major transactions

INTEGRITES’ team of lawyers provided legal support to two transactions for the Banque de Commerce et de Placements SA (Switzerland) and Coöperatieve Rabobank U.A. (Netherlands) regarding provision of pre-export financing to the leading Ukrainian agro-holding. Loan funds were provided for financing the purchase of wheat, maize, barley, soybean and other agricultural products of Ukrainian origin for their further export to Europe, Africa and Asia. The amount of financing from Banque de Commerce et de Placements SA was USD 57 million, and funding from Coöperatieve Rabobank U.A. came to
USD 50 million. Senior lawyer  Maryna Ryaschenko, lawyer Elysaveta Demydenko, led by partner Vsevolod Volkov, provided complex legal services.

 

Sale of Karavan hypermarket chain to Auchan Group completed

AVELLUM acted as a legal advisor to the seller regarding the sale of the Karavan hypermarket chain to the Auchan Group.

On 20 July 2017 the Antimonopoly Committee of Ukraine granted merger control clearance for the acquisition of the Karavan hypermarket chain by Auchan Group.
The acquisition was completed on 5 September 2017. After this acquisition Auchan Group will operate 20 hypermarkets in nine cities of Ukraine and employ around 7,000 people.

The AVELLUM team involved in this transaction was led by counsel Yuriy Nechayev, with support from senior associate Yuriy Zaremba and associates Dmytro Tkachuk and Ilhar Hakhramanov, under the general supervision of managing partner
Mykola Stetsenko.

 

BPU and Asters advised ViDi Group companies

BPU and Asters acted as counsels on the restructuring of ViDi Group companies’ (LLC ViDi Autocity Kiltseva and LLC ViDi Autocity) debt to JSC Oschadbank, implemented in accordance with the Law of Ukraine On Financial Restructuring. BPU acted as a project manager and financial consultant, while Asters provided legal advice to the ViDi Group of companies.

The Asters team involved in this transaction was led by Iryna Pokanay, partner Gabriel Aslanian, counsel, and Inna Bondarenko, associate.

The project team of BPU included Timur Kogan, chief executive officer, Ian Tretyak, project manager, and Vitaliy Prykhodko, investment analyst.
